Welcome to Krypsm. These Terms of Service govern your use of the Krypsm website, mobile applications and related services. Please read them carefully, along with our Privacy Policy — by creating an account or using the Platform you agree to be bound by them.
About These Terms
These Terms of Service ("Terms") are a legally binding agreement between you ("you", "User") and Krypsm Private Limited (CIN U58200MH2024PTC429181), a company incorporated in India with its registered office at 1st Floor, M Dange Caterers, In front of Neelam Mess, LIT Road, Ram Nagar, Nagpur, Maharashtra 440010 ("Krypsm", "we", "us"). They govern your access to and use of the Krypsm website, mobile applications and related services (together, the "Platform"). By creating an account or using the Platform you confirm that you have read, understood and agree to these Terms, our Privacy Policy and any product-specific terms we publish. If you do not agree, do not use the Platform.
Nature of Our Service — Broker, Not Custodian
Krypsm is an intermediary that gives retail users in India a simple interface to buy, sell, swap and set up recurring investments in virtual digital assets ("VDAs"). It is important that you understand how this works:
- Execution partner: Orders you place on the Platform are routed to and executed through our regulated execution and custody partner, CoinSwitch. Krypsm does not operate its own exchange or order book and does not match trades between users.
- Custody: Krypsm does not hold, control or have access to the private keys for any VDA. VDAs bought through the Platform are held by CoinSwitch in its custody infrastructure, in a pooled arrangement, and are reflected to you as a balance in your Krypsm account. Krypsm has no independent ability to move those assets on-chain.
- INR funds: Indian Rupee balances you add for trading are handled through regulated payment partners and are held pending your instructions to trade or withdraw. Krypsm is not a bank and does not pay interest on balances.
- No advice: Nothing on the Platform is investment, tax or legal advice or a recommendation to buy or sell any asset. You are solely responsible for your decisions.
Eligibility, Identity Verification and AML
The Platform is available only to individuals who are at least 18 years old, resident in India, competent to contract, and not barred from using such services under any applicable law or sanctions list. As a registered Reporting Entity under the Prevention of Money-Laundering Act, 2002 ("PMLA") and the FIU-IND guidelines:
- You must complete identity verification (KYC), including PAN and Aadhaar-based checks and a liveness/face match, before you can trade, deposit or withdraw.
- You must provide accurate, current and complete information and update it when it changes. Providing false information is grounds for immediate suspension and may be reported to the authorities.
- We screen accounts and transactions for money-laundering, terrorist-financing, sanctions and fraud risk. We may request additional information or documents ("enhanced due diligence") at any time.
- We may place a hold on, delay, decline or reverse any deposit, trade or withdrawal, freeze an account, or file a report with the authorities, where required by law or our compliance policies. Where the law permits us to tell you, we will; in some cases we are legally prohibited from doing so.
- One individual may hold only one Krypsm account.
Orders, Pricing and Settlement
When you place an order, you are instructing Krypsm to execute a trade on your behalf through CoinSwitch at the price available at the time of execution.
- Prices shown on the Platform are indicative and update frequently. The price at which your order actually executes may differ due to market movement between the time you see a quote and the time the order is filled.
- Once submitted, an order cannot be cancelled or amended after it has been sent for execution. A filled order is final.
- VDA and INR balances are updated once execution and settlement are confirmed by our partner. Settlement timing depends on the partner and on network conditions and is outside Krypsm’s direct control.
- We may set minimum and maximum order sizes, daily limits and other controls, and may refuse or unwind a trade that appears erroneous, manipulative or the result of a system fault.
Fees, GST and TDS
By using the Platform you agree to the fees and statutory deductions that apply to your activity. The applicable amounts are shown to you before you confirm a transaction and in your transaction history.
- Krypsm charges a service fee on trades. The current fee schedule is published on the Platform and may be changed on prospective notice.
- Goods and Services Tax (GST) is charged on the Krypsm service fee at the rate prescribed by law.
- Tax Deducted at Source (TDS) under Section 194S of the Income-tax Act, 1961 is deducted on the transfer of VDAs at the prescribed rate and deposited with the government against your PAN. TDS is your tax credit and is reflected in your Form 26AS.
- You are responsible for your own tax filings, including reporting of gains under the applicable VDA tax provisions. Krypsm does not provide tax advice.
- Network / blockchain fees, and any charges levied by payment or banking partners, may apply to deposits and withdrawals and will be disclosed where applicable.
Deposits and Withdrawals
You may add and withdraw INR through the methods offered on the Platform, subject to verification and limits.
- Withdrawals are paid only to a bank account held in your own name that has been verified through our bank-verification process. Third-party payouts are not permitted.
- A change to your registered bank account requires re-verification and a security cooling-off period during which withdrawals are paused. Deposits and trading are unaffected.
- Deposits and withdrawals may be held pending anti-money-laundering checks and manual review. We will release, decline or return funds once review is complete.
- We do not support deposits or withdrawals of VDAs to or from external self-custody wallets at this time.
Systematic Investment Plans (SIP)
The SIP feature lets you schedule recurring purchases of a chosen VDA. If you use it:
- Each scheduled instalment is a separate order executed at the price and subject to the fees, GST and TDS applicable at that time.
- An instalment will be skipped if your INR balance is insufficient, if your account is under a compliance hold, or if KYC has lapsed. Repeated failures may pause the plan.
- You may pause, resume or cancel a SIP at any time from the Platform. Cancellation does not reverse instalments already executed.
Your Account and Security
You are responsible for activity on your account. You must:
- Keep your login credentials and device secure, enable the security features we offer, and not share access with anyone.
- Notify us immediately at [email protected] if you suspect unauthorised access.
- Use the Platform only from a device and location you control. We use device and location signals to detect fraud and may block access from high-risk contexts.
- Not attempt to circumvent KYC, transaction limits, geo-restrictions or security controls.
Acceptable Use
You must not use the Platform to:
- Launder money, finance terrorism, evade sanctions or taxes, or facilitate any offence.
- Trade on behalf of an undisclosed third party, operate multiple accounts, or engage in market manipulation, wash trading or abusive automated activity.
- Introduce malware, probe or stress-test our systems without written permission, scrape data, or interfere with other users’ access.
- Infringe our or others’ intellectual property, or misuse the Krypsm name, logo or content.
- Provide false information or use the Platform if you are located in, or a national of, a jurisdiction where doing so would be unlawful.
Risk Disclosure
Virtual digital assets are high-risk. By using the Platform you acknowledge and accept that:
- VDA prices are extremely volatile and can fall rapidly and without limit. You may lose some or all of the money you invest.
- VDAs are not legal tender in India, are not backed by any government or central bank, and are not covered by deposit insurance, investor-protection funds or any statutory compensation scheme.
- The regulatory and tax treatment of VDAs in India is evolving and may change in ways that adversely affect the value, transferability or availability of your assets or of the Platform itself.
- Trades are irreversible. Blockchain networks can experience congestion, forks, failures or attacks.
- You rely on the continued operation and solvency of our execution and custody partner. A failure, insolvency, security breach or regulatory action affecting that partner could affect your ability to access or realise your assets.
- You should only invest money you can afford to lose, and should seek independent financial advice before investing.
Availability and Changes to the Platform
We work to keep the Platform available but do not guarantee uninterrupted access. We may suspend, restrict or modify features, listed assets or the Platform as a whole for maintenance, security, legal, risk or commercial reasons, with or without notice depending on the circumstances. We may de-list an asset, in which case we will give you a reasonable opportunity to sell or, where possible, transfer it.
Privacy and Data Protection
Our collection and use of your personal data is described in our Privacy Policy, which forms part of these Terms. We process data in accordance with the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000 and PMLA record-keeping obligations. Identity and transaction records are retained for at least five years as required by law, even after your account is closed.
Limitation of Liability
To the maximum extent permitted by law:
- The Platform is provided "as is" and "as available". We disclaim all implied warranties, including of merchantability, fitness for a particular purpose and non-infringement.
- Krypsm is not liable for trading losses, missed gains, or losses arising from price movement, market conditions, your own decisions, or events outside our reasonable control (including the acts, omissions, insolvency or security failures of payment, execution or custody partners, blockchain network events, and regulatory action).
- Krypsm is not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profit, data or goodwill.
- Where liability cannot be excluded, our total aggregate liability to you for all claims in any 12-month period is limited to the total service fees you paid to Krypsm in that period.
- Nothing in these Terms excludes liability for fraud or for anything that cannot lawfully be excluded.
Indemnity
You agree to indemnify and hold harmless Krypsm and its officers, employees and partners from any claim, loss, liability or expense (including reasonable legal fees) arising from your breach of these Terms or applicable law, your misuse of the Platform, or your infringement of any third-party right.
Suspension and Termination
You may close your account at any time once your balances are settled and no holds or investigations are open. We may suspend or terminate your access, with notice where practicable and immediately where required, if you breach these Terms or applicable law, if we are directed to by a regulator or court, or to manage a security or compliance risk. On termination, we will help you withdraw eligible INR and sell or (where supported) transfer VDA balances, subject to verification and legal holds. Statutory record-keeping obligations survive termination.
Grievance Redressal
If you have a complaint, first raise it through in-app support. If it is not resolved to your satisfaction, you may escalate it to our Grievance Officer:

- We will acknowledge your complaint within a reasonable time and endeavour to resolve it promptly, and in any event within the timelines required under applicable law.
Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Any dispute arising out of or in connection with them shall be referred to and finally resolved by arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Nagpur, Maharashtra, and the proceedings shall be conducted in English. Subject to arbitration, the courts at Nagpur, Maharashtra shall have exclusive jurisdiction. This clause does not prevent either party from seeking urgent interim relief from a court.
Changes to These Terms
We may revise these Terms from time to time. If a change is material, we will notify you through the Platform or by email before it takes effect. Your continued use of the Platform after a change takes effect means you accept the revised Terms. If you do not accept a change, you should stop using the Platform and close your account.
General
If any provision of these Terms is held to be invalid or unenforceable, the rest remain in effect. Our failure to enforce a right is not a waiver of it. You may not assign your rights under these Terms; we may assign ours to an affiliate or successor. These Terms, together with the Privacy Policy and any product-specific terms, are the entire agreement between you and Krypsm regarding the Platform.
